Terms of Service

1. Acceptance of Terms

By accessing or using AmendSign ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We reserve the right to update these Terms at any time, with notice provided for material changes. Continued use after changes constitutes acceptance.

2. Description of Service

AmendSign provides an online platform for electronic signatures, document editing, PDF form filling, AI-powered document generation, and related services. Features include:

  • Uploading and editing PDF documents
  • Creating and managing electronic signature workflows
  • Filling out government and business forms
  • AI-assisted document generation
  • Document storage and management

3. Account Registration

  • You must be at least 18 years old to create an account.
  • You must provide accurate, complete registration information and keep it updated.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activities that occur under your account.
  • One person per account; account sharing is prohibited.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Billing

  • Paid subscriptions are billed monthly or annually as selected during signup.
  • Free trials convert to paid subscriptions at the end of the trial period unless cancelled.
  • Refunds are provided within 7 days of a charge for monthly plans and 30 days for annual plans, solely for first-time charges, upon request.
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
  • Downgrading may cause loss of features or capacity; we are not responsible for data loss resulting from downgrades.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws.
  • Upload documents containing malware, viruses, or harmful code.
  • Attempt to circumvent security, access controls, or usage limits.
  • Use the Service to create or distribute spam, phishing content, or fraudulent documents.
  • Reverse engineer, decompile, or extract the source code of the Service.
  • Resell, sublicense, or commercially exploit the Service without a separate agreement.
  • Use automated tools (bots, scrapers) that impose unreasonable load on our infrastructure.
  • Upload illegal content, including but not limited to child exploitation material, terrorist content, or content that infringes intellectual property rights.

6. Electronic Signatures

AmendSign provides infrastructure for creating electronic signatures. By using our e-signature features:

  • You acknowledge that electronic signatures created through the Service may be legally binding under the ESIGN Act (U.S.), eIDAS (EU), and similar laws.
  • You are responsible for ensuring that your use of electronic signatures complies with applicable laws in your jurisdiction.
  • We maintain audit logs of signature events, but we do not verify the identity of signers beyond the mechanisms you configure.
  • We are not a party to any agreements made through the Service.

7. Intellectual Property

Our IP: The AmendSign platform, including its code, design, branding, and documentation, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

Your Content: You retain all rights to the documents and content you upload to the Service. By uploading, you grant us a limited license to process, store, and display your content solely as necessary to provide the Service to you.

8. Third-Party Services and AI

  • The Service may integrate with third-party providers (payment processors, AI/LLM providers, cloud storage). We are not responsible for the availability or actions of third-party services.
  • AI-generated content (document drafts, form field detection) is provided as a convenience tool. You should review all AI-generated output before use. We make no warranties about the accuracy, completeness, or legality of AI-generated content.

9. Government Forms Disclaimer

AmendSign provides access to government forms as a convenience. Important notices:

  • This is not a government website. We are not affiliated with any government agency.
  • Government forms may become outdated. Always verify form versions and requirements with the issuing agency before submission.
  • We do not guarantee that forms will be accepted by any agency. You bear full responsibility for verifying accuracy and timeliness.
  • Form filing deadlines, fees, and requirements are your responsibility to confirm independently.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
  • We are not liable for delays or failures caused by circumstances beyond our reasonable control.

11. Indemnification

You agree to indemnify and hold harmless AmendSign, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

  • You may terminate your account at any time through your account settings or by contacting us.
  • We may suspend or terminate your account for violation of these Terms, with or without notice.
  • Upon termination, your right to use the Service ceases immediately.
  • Provisions regarding intellectual property, limitation of liability, and indemnification survive termination.
  • We will delete or anonymize your data in accordance with our Privacy Policy and data retention practices.

13. Governing Law and Disputes

  • These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
  • Any dispute arising from these Terms shall be resolved through binding arbitration in Wilmington, Delaware, in accordance with AAA Commercial Arbitration Rules.
  • Claims must be brought individually, not as a class action.
  • Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email to registered users and by posting the updated Terms on our website. Non-material changes take effect immediately upon posting. Material changes take effect 30 days after notice, unless you object in writing within that period.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and AmendSign regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any provision is not a waiver of the right to enforce it later.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger or acquisition.
